Vendor Agreement

This Vendor Agreement (the "Agreement") governs your relationship with us as a service provider listing inventory, experiences, vehicles, or guided trips on the ChaloSaath platform (the "Platform"). By submitting a vendor application, accepting a vendor invitation, or listing on the Platform, you agree to these terms.

1. Who Can Become a Vendor

  • You must be at least 18 years old and lawfully authorized to provide travel services in India.
  • Businesses must hold valid statutory registrations (GST where applicable, MSME / Udyam, trade license).
  • Drivers, guides, and trip organizers must hold required licenses and permits in good standing.
  • You must complete KYC (PAN, identity verification, and bank account verification) before going live.

2. Listing Standards & Content

  • All listing photographs must be your own or rights-cleared. We may remove listings that infringe.
  • Descriptions must accurately reflect inclusions, exclusions, capacity, durations, and conditions.
  • Pricing displayed on the Platform must be the final consumer price. Off-platform "side deals" with travelers introduced by ChaloSaath are prohibited.
  • You must keep availability, cut-off times, and pricing up to date.

3. Commercial Terms

  • ChaloSaath charges a platform fee on each booking (see your vendor dashboard for the current rate; default 10%).
  • A reservation/protection fee may also apply, shown to travelers separately at checkout.
  • You are paid your net entitlement (gross booking value − platform fee − applicable refunds) per the settlement schedule below.
  • Taxes, including GST on your services, are your responsibility. ChaloSaath issues a tax invoice only for its platform fee.

4. Payments & Settlements

  • Travelers pay ChaloSaath at the time of booking through the secure Razorpay gateway.
  • Settlements are made to the verified bank account on your vendor profile. We will not change the destination account without a fresh KYC step.
  • Settlements are typically released after the service-delivery window or per the cycle agreed in your vendor onboarding.
  • We may withhold settlement of disputed amounts pending investigation, fraud review, or chargeback resolution.

5. Cancellations & Refunds

  • Your published cancellation policy on each listing governs the refund formula for travelers.
  • For cancellations covered by your policy, ChaloSaath will initiate the refund and adjust the corresponding amount from your settlement.
  • For acts beyond reasonable control (weather, force majeure, public safety advisories), we may offer travelers full refunds and absorb part of the platform fee in good-faith partnership.

6. Service Standards

  • Honour every confirmed booking on time and as described.
  • Respond to traveler messages on the in-app inbox within 12 working hours.
  • Maintain a minimum 4.0 average rating and a confirmation rate above 90%. Sustained drops may lead to ranking penalties or, in serious cases, removal.
  • Operate safely — adhere to vehicle fitness norms, guide best practices, capacity limits, and accommodation safety standards.

7. Trust, Safety & Compliance

  • You will comply with all applicable laws including the Information Technology Act, 2000, GST Act, Motor Vehicles Act (for transport vendors), and local tourism regulations.
  • You will not solicit travelers introduced by ChaloSaath outside the Platform for repeat bookings of comparable inventory.
  • You will not list inventory that is illegal, exploits minors, harms wildlife, or violates protected-area norms.
  • You authorize ChaloSaath to perform reasonable verification checks, mystery audits, and on-trip quality inspections.

8. Vendor Account Status

  • New vendors begin in Pending Approval after submitting KYC.
  • Once approved, status moves to Active — listings become bookable.
  • Trusted partners may be elevated to Verified with badge visibility.
  • We may pause or terminate vendor access for repeated policy breaches, fraud, traveler safety risks, or non-payment of dues.

9. Intellectual Property

You grant ChaloSaath a non-exclusive, worldwide, royalty-free license to display your listing content (photos, descriptions, ratings) on the Platform and in promotional materials such as social posts and emails. You retain ownership of your content; we never sell it to third parties.

10. Confidentiality

Both parties will keep non-public business information confidential, including settlement reports, traveler data, commercial terms, and internal communications. This obligation survives termination.

11. Indemnity & Limitation of Liability

You agree to indemnify ChaloSaath against third-party claims arising from your acts, omissions, or breach of this Agreement. ChaloSaath's aggregate liability to you in any 12-month period is capped at the platform fees we received from your bookings in the preceding 90 days.

12. Termination

  • Either party may terminate this Agreement with 30 days' written notice via your registered email.
  • ChaloSaath may terminate immediately for material breach, fraud, or risk to traveler safety.
  • On termination, accrued settlements are paid out per the normal cycle subject to any pending disputes.

13. Governing Law

This Agreement is governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at New Delhi, India. Parties will first attempt good-faith resolution by writing to vendors@chalosaath.in within 30 days.
